By accessing or using the website and services provided by Azonic, Inc. (“Azonic,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services, including our website, platform, APIs, and any related tools or features.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements.

If you are using our services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

Our platform is currently in private beta. Submitting your email to our waitlist does not guarantee access to the platform. We reserve the right to grant or deny access at our sole discretion.

If granted access, you may be subject to additional terms and conditions specific to the platform, which will be provided at the time of onboarding.

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of our services, systems, or networks.
• Interfere with or disrupt the integrity or performance of our services.
• Transmit any malware, viruses, or other malicious code.
• Reverse engineer, decompile, or disassemble any aspect of our services.
• Use our services to collect or harvest personal information of others without consent.
• Misrepresent your identity or affiliation when accessing our services.

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and design, are owned by Azonic or its licensors and are protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our content without our prior written consent.

Any non-public information about our platform, technology, features, or roadmap that is disclosed to you in connection with your participation in the private beta or waitlist is considered confidential. You agree not to disclose such information to any third party without our prior written consent.

Our services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

To the fullest extent permitted by law, Azonic and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us, if any, during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Azonic and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms or your use of our services.

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page with a revised “Last Updated” date. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
